Vervent Launches NexVault, Making Loan Ownership Provable Across Private Credit

San Diego, California - Vervent, a leading provider of loan servicing and capital markets services, today announced the launch of NexVault, a next-generation eVault platform developed in partnership with Real Private Credit and powered by its CERT™ technology. NexVault is built on UCC Article 12, the recently enacted legal framework that recognizes Controllable Electronic Records and allows a security interest to be perfected by control of the electronic record itself. The platform gives lenders, investors, and capital markets participants a single, controllable record for every financed receivable, establishing legal control, preventing double-pledging, and preserving enforceability across the full portfolio lifecycle.
The launch addresses a long-standing gap in lending infrastructure. The mortgage industry has operated for years with digital systems that prove exactly who holds the authoritative record for a loan. Most other asset classes have not. Auto, equipment, commercial, and specialty finance transactions still move largely on paper, and electronic document adoption outside of mortgage remains low. UCC Article 12 changes the legal foundation. Under the new framework, ownership and priority are established through demonstrable control of the record rather than reliance on a central database.
“NexVault represents a genuine step forward for our clients and for capital markets,” said Lou Geibel, Executive Vice President at Vervent. “Legacy eVault systems were built to store documents. NexVault was built to establish control, and under Article 12, control is what determines ownership, priority, and enforceability. We believe this changes what lenders and investors should expect from their custody infrastructure.”
CERT technology converts each financed receivable into a single Controllable Electronic Record. Only one authoritative record can exist for each obligation, and only one party can hold control of it at a time, a property enforced by the system's architecture rather than by a database designation. The practical result: the same receivable cannot be pledged to two funders, existing positions become visible before capital is deployed, and a lender's perfected interest is grounded directly in state law under UCC Sections 12-105 and 9-314(a), alongside compliance with UCC 9-105, ESIGN, and UETA.
dNexVault will launch with an initial focus on merchant cash advance, where stacking and double-pledging remain persistent industry-wide problems and where the platform's structure reduces transaction friction and lowers per-unit custody costs. The platform is designed to extend across additional asset classes, including auto, equipment finance, trade receivables and invoice factoring, and the broader private credit market.
“The merchant cash advance industry has never had a structural answer to stacking, only databases that depend on voluntary participation,” said Cole Snell, Founder & CEO of Real Private Credit. “Article 12 finally provides one. When ownership and priority are established by
control of the record itself, the question of who holds a receivable stops being a matter of trust and becomes a matter of fact.”
NexVault extends Vervent's established eVault Solutions service line and reflects the company's broader approach to capital markets infrastructure: pairing verifiable custody with the operational capacity to act on it. With more than 35 years of experience, six geo-diverse operations centers, and 99.95% uptime, Vervent supports lenders and investors across the full credit lifecycle, from origination custody through primary servicing, backup servicing, and successor servicing transitions.
